1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Imogenix, Inc. ("Company," "we," "us," or "our") concerning your access to and use of the Coach Cards website (mycoachcards.com) and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Coach Cards is a web-based application that enables football coaches to create, manage, and export quarterback armband play cards and related coaching materials. The Service allows you to:

  • Create and organize football plays
  • Design quarterback armband cards with custom layouts
  • Export play cards to PDF format
  • Manage multiple teams and card versions

3. Account Registration

To use the Service, you must create an account by providing a valid email address. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Billing

4.1 Free Trial

New users receive a free trial that includes 5 PDF exports. After exhausting the trial exports, you must upgrade to a paid subscription to continue exporting.

4.2 Paid Subscription

The paid subscription ("Pro Plan") is billed annually at $29.99 per year (subject to change with 30 days notice). The subscription includes:

  • Unlimited PDF exports without watermarks
  • Up to 20 saved cards
  • All export formats (player cards, call sheets, reference sheets)
  • Priority support

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

4.4 Payment Processing

All payments are processed securely through Stripe, Inc. We do not store your credit card information. You agree to provide accurate and complete billing information.

4.5 Failed Payments

If your payment fails, we will attempt to charge your payment method again. If payment cannot be processed after multiple attempts, your subscription may be suspended or canceled.

4.6 Price Changes

We reserve the right to change our pricing with 30 days advance notice. Price changes will apply to your next billing cycle after the notice period.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through the billing portal. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds or credits will be provided for partial billing periods.

5.2 30-Day Money-Back Guarantee

If you are not satisfied with the Service, you may request a full refund within 30 days of your initial subscription purchase. To request a refund, contact us at support@imogenix.com. Refunds are only available for first-time subscribers and do not apply to renewal charges.

5.3 No Pro-Rated Refunds

We do not provide pro-rated refunds for mid-year cancellations. If you cancel, you will have access to the Service until the end of your paid period.

6. Intellectual Property

6.1 Your Content

You retain all rights to the play cards, plays, and other content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you.

6.2 Exported Materials

You own all PDF exports and other materials generated from Your Content. You may use, distribute, and modify these materials without restriction for any purpose, including commercial use.

6.3 Our Property

The Service, including its software, design, features, and functionality, is owned by Imogenix, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Share your account credentials with others
  • Resell or redistribute the Service without authorization
  • Upload malicious code or viruses

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, updates, or emergency repairs that temporarily limit access. We are not liable for any disruption, delay, or loss resulting from Service unavailability.

9. Data Backup

We perform regular backups of your data, but you are responsible for maintaining your own backups of Your Content. We recommend regularly exporting your play cards and saving them locally.

10. Termination

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees
  • Abuse or misuse the Service

Upon termination, your right to access the Service will immediately cease. We may delete Your Content 30 days after termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be error-free, secure, or available at all times. We are not responsible for the accuracy, completeness, or usefulness of any content created using the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMOGENIX, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Imogenix, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Douglas County, Nebraska.

15. Dispute Resolution

Before filing any legal claim, you agree to first contact us at support@imogenix.com to attempt to resolve the dispute informally. Most disputes can be resolved through good-faith negotiation.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Imogenix, Inc. regarding the Service and supersede all prior agreements and understandings.
